TERMS AND CONDITIONS
ANY ADDITIONAL WORK COSTS TO BE INCURRED ON THIS PURCHASE ORDER MUST FIRST BE APPROVED BY WALKER FORGE CLINTONVILLE. FAILURE TO GET WRITTEN APPROVAL FOR ADDITIONAL WORK OR COSTS WILL RESULT IN THE VENDOR, NOT WALKER FORGE CLINTONVILLE, ABSORBING THOSE ADDITIONAL COSTS.
ANY TOOLING, FIXTURES AND/OR PROGRAMMING WHICH ARE PAID FOR DIRECTLY OR INDIRECTLY THROUGH AMORTIZING IN PIECE PRICE BECOMES THE PROPERTY OF WALKER FORGE AND MAY NOT BE USED ON ANY OTHER JOB WITHOUT THE WRITTEN APPROVAL OF WALKER FORGE. IN ADDITION, ALL TOOLING, FIXTURES AND/ OR PROGRAMMING MUST BE MAINTAINED IN USABLE CONDITION AND MAY NOT BE SCRAPPED WITHOUT PRIOR APPROVAL BY WALKER FORGE.
ACCEPTANCE—Mail acknowledgement of this order to Walker Forge, Inc. Advise if unable to ship. Mail all invoices and bills of lading same day goods are shipped. Render a separate invoice for each shipment against this purchase order if partial shipments are made. Provide packing list in each shipment showing contents and purchase order number.
TERMS—If a discount is allowed for payment within a certain time, the time for taking the discount will not begin to run until the date of the receipt of the invoice or the date of the delivery of the goods at the F.O.B. point specified, whichever is later.
However, if an invoice is returned for correction the time for taking the discount will not begin to run until the date of the receipt of the corrected invoice.
QUANTITIES—Shipments must equal exact quantity ordered unless otherwise agreed.
REJECTS—All rejected goods will be held at Seller’s risk and expense subject to Seller’s prompt advice as to disposition. Unless otherwise arranged all rejected goods will be returned and charged back including all transportation and handling costs.
BUYER’S PROPERTY—Title to any and all property furnished by Buyer at no charge to Seller in connection with this Order shall at all times vest in Buyer, and Seller assumes all liability for loss or Seller’s failure to return such property to Buyer upon request.
PATENTS—“Seller shall, with respect to any article, device or composition of Seller’s design or Seller’s standard manufacture, indemnify and hold harmless Buyer, its customer’s dealers and agents, from costs and damages as finally determined by any court of competent jurisdiction for infringement of any United States or Canadian Letters Patent, by reason of the sale or normal use of such article, device or composition, provided that Seller is given reasonable notice of all such actual or potential infringement suits, and is tendered control of the defense thereof by Buyer.
Buyer shall, with respect to any article, device or composition of Buyer’s design, and not of Seller’s standard manufacture, indemnify and hold harmless Seller, its suppliers, or subcontractors, from costs and damages as finally determined by any court of competent jurisdiction for infringement of any United States or Canadian Letters Patent by reason of the manufacture of such article, device or composition, provided that Buyer is given reasonable notice of all such actual or potential infringement suits, and is tendered control of the defense thereof by Seller.”
COMPLIANCE—The Seller’s acceptance of this purchase order shall constitute a warranty to the purchaser that all materials, supplies, articles or equipment to be manufactured or furnished hereunder will be manufactured or fabricated in compliance with the applicable provisions of Public Act No. 718-75th Congress (Fair Labor Standards Act of 1938) and lawful regulations under such Act. Walker Forge requires a minimum of ISO 9001:2015, with shown compliance toward IATF 16949. Please note that 100% on time delivery is required.
Supplier to supply MSDS on any applicable items covered on this purchase order.
Supplier to complete/submit a Non-Disclosure Agreement prior to entry into plant for such visits which include: tour, consultation of services/work to be performed, assistance with production practices, etc.
Supplier to supply a current Certificate of Liability Insurance, prior to providing services/work on-site.
